Exchange Seller Agreement

You (the seller) are the verified owner of an organization on System Atlas, or act for it. MIOSA, which runs System Atlas, is the platform: it hosts your listing, takes requests and bids, collects the buyer's payment, delivers access and keeps the ledger. The licence a buyer receives is granted by you, on the terms of the Exchange Buyer Licence; System Atlas is not the owner of your data and does not buy it.

Listing on the exchange asks you to accept this agreement and records the version you accepted.

• You choose the scope (which parts of your verified map), the price, one-time or yearly pricing, the licence term and whether buyers may bid. You can pause or close a listing at any time; access already granted runs to the end of its term unless revoked for breach.
• You decide every request: accept, decline or counter.
• Only verified data you own or may license can be listed. You promise that licensing it breaks no contract, confidentiality duty, privacy law or third party's rights, and that it contains no personal data beyond names and roles of people acting for the organization.

System Atlas keeps a platform fee from each sale (20% unless we agree otherwise in writing, shown in your earnings before you list) and pays you the rest. Payment processor charges are part of our fee. Each sale is recorded in your earnings with the gross amount, the fee and your payout.

Payouts are made by System Atlas to you, by bank transfer or another method we agree, within 30 days of each sale, once the buyer's payment has settled, and marked paid in your earnings. Our payment processor does not split payments to sellers, so System Atlas collects the whole price and pays you. A sale that is refunded or charged back is reversed from your earnings. You are responsible for your own taxes on payouts.

Buyers read only the licensed scope, beside their own map, until the term ends. Every grant, view and export is recorded in your ledger, and every copy delivered is fingerprinted to its buyer. If you find a leak, use the leak identifier or write to us; we will trace it, revoke the grant and support your remedies against the buyer.

You let System Atlas host, process and deliver the listed data to buyers you accept, show the listing's title, summary, scope and price on the exchange, and include aggregate counts (never the licensed values) in the exchange board.

Either side may end this agreement by notice; grants already made run their term. The Terms of Service apply alongside it. Governed by the laws of the State of Texas, without regard to its conflict-of-laws rules; disputes go to the state and federal courts located in Texas.
